Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pactful.AI platform, website at www.pactful.ai, and related services (collectively, the "Service") provided by AGX Group LLC ("Pactful.AI," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

Pactful.AI provides a platform for freelancers and service providers to:

  • Create, send, and manage legally-binding contracts with electronic signatures
  • Track project milestones and payments
  • Generate AI-powered dispute response drafts
  • Create invoices, convert documents to PDF, and calculate PayPal fees
  • Store and manage documents in cloud storage

4. Subscriptions and Payments

4.1 Plans and Free Trial

The Service offers a free tier, a 7-day free trial, and a paid Pro subscription. Features available to you depend on your current plan.

  • Free Tier: Build contracts, use free tools (signature generator, PDF converter, PayPal fee calculator, invoice generator), and connect cloud storage. Sending contracts requires a trial or paid subscription.
  • Free Trial (7 days): Send 1 contract for signature, access the contract vault, milestone tracking, audit trail, and evidence packages. AI dispute responses are not available during the trial. The trial begins when you create your account and expires after 7 days regardless of usage.
  • Pro Subscription ($9.99/month): Unlimited contract sends, all trial features without limits, AI-powered dispute responses, and cloud storage auto-backup.

We reserve the right to modify plan features and pricing with reasonable notice.

4.2 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis through Stripe.
  • Your subscription will automatically renew unless you cancel before the end of the current billing period.
  • You authorize us to charge the payment method on file for recurring subscription fees.

4.3 Cancellation

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
  • We do not provide prorated refunds for partial billing periods.

4.4 Refunds

Refund requests are evaluated on a case-by-case basis. If you believe you are entitled to a refund, contact us at support@pactful.ai within 14 days of the charge.

5. Your Content

5.1 Ownership

You retain all ownership rights to the content you upload, create, or submit through the Service ("Your Content"), including contracts, documents, invoices, signatures, and evidence files. We do not claim ownership of Your Content.

5.2 License to Us

By uploading or creating content on the Service, you grant us a limited, non-exclusive, worldwide license to store, process, display, and transmit Your Content solely as necessary to provide and improve the Service. This license terminates when you delete Your Content or your account.

5.3 Responsibility

You are solely responsible for Your Content. You represent that you have the right to upload and use all content you submit, and that Your Content does not violate any third party's rights or applicable laws.

6. Electronic Signatures

  • Pactful.AI facilitates the collection of electronic signatures on contracts. By using this feature, you acknowledge that electronic signatures may have legal effect under applicable law, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
  • We provide tools to create and send contracts, but we are not a party to any contract you create using the Service.
  • We do not guarantee that electronically signed contracts will be legally enforceable in all jurisdictions. You are responsible for ensuring your contracts comply with applicable laws.
  • We are not a law firm and do not provide legal advice. Consult a qualified attorney for legal questions about your contracts.

7. AI-Powered Features

  • The Service uses artificial intelligence (provided by Anthropic's Claude) to generate dispute response drafts and other content.
  • AI-generated content is provided as a starting point and should be reviewed and edited by you before use.
  • We do not guarantee the accuracy, completeness, or legal sufficiency of AI-generated content.
  • AI-generated dispute responses are not legal advice. They are drafts intended to help you articulate your position.
  • You are solely responsible for the content you submit in any dispute or legal proceeding.

8. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Create fraudulent contracts or documents
  • Impersonate another person or entity
  • Upload malicious software, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, crawl, or use automated means to access the Service without permission
  • Use the Service to facilitate money laundering, fraud, or other illegal activity
  • Upload content that is illegal, defamatory, or infringes on others' rights

9. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is owned by AGX Group LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

10. Third-Party Services

The Service integrates with third-party services including Stripe, Google, Dropbox, and Box. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10.1 Trademark Notice

PayPal is a registered trademark of PayPal, Inc. Google and Google Drive are trademarks of Google LLC. Dropbox is a trademark of Dropbox, Inc. Box is a trademark of Box, Inc. Stripe is a trademark of Stripe, Inc. All other trademarks, service marks, and company names mentioned on the Service are the property of their respective owners. Pactful.AI is not affiliated with, endorsed by, or sponsored by any of these companies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy or reliability of any information obtained through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGX GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless AGX Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Termination

  • You may terminate your account at any time by contacting us or through your account settings.
  • We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period, subject to legal obligations.
  • Sections 5, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AGX Group LLC regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
  • Notices: We may send notices to the email address associated with your account. You are responsible for keeping your email address current.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
